Definitions
Startup shall have the meaning ascribed to it under the Notification issued by the Department for Promotion of Industry and Internal Trade (DPIIT), Ministry of Commerce and Industry, Government of India, bearing Notification No. G.S.R. 127(E) dated 19 February 2019, which may be amended or supplemented from time to time.
Credits shall mean the Zoho wallet credits provided under the Zoho for Startups Program which include Stage I Credits and Stage II Credits.
Zoho Services shall mean Zoho's proprietary cloud-based software applications for businesses offered by Zoho.
ManageEngine Products shall refer to the IT management software distributed under the brand name ManageEngine, a division of Zoho.
Refund Policy shall refer to Zoho's refund policy available here that applies to Zoho Services.
Zoho for Startups Program
Zoho for Startups is a program designed to empower startups by providing them access to Zoho Services through Credits. Using the Credits, you can explore and leverage Zoho's offerings and make informed decisions that best support your business growth and operations.
Eligibility
To participate in the Zoho for Startups Program and avail Credits, you must be a Startup.
- Applying for the Zoho for Startups Program and the availing of Credits is limited to a single instance. Credits may only be claimed for one Startup, irrespective of the number of Startups owned or managed by you. Similarly, you are not eligible to participate in the Zoho for Startups Program and avail Credits if you have already received Credits through the Zoho for Startups Program for your Startup, regardless of whether you used the Credits.
- You are not eligible to participate in the Zoho for Startups Program if you are an existing or former user of Zoho Services.
Credits
Upon fulfilment of the eligibility criteria and successful verification, you will be eligible to receive Credits ("Stage I Credits"). You can use the Credits to purchase individual Zoho Services, Zoho suite of products, upgrades, certain add-ons, and renewal of monthly plans.
In the event you host your domain with Zoho, you will be eligible for additional Credits ("Stage II Credits") provided, your domain hosting is setup within 15 days from the date of receipt of Stage I Credits.
- The Credits will be valid for a period of 360 days from the date of issue of Stage I Credits.
- You cannot use the Credits to purchase subscriptions to the Zoho Services namely, Zoho Voice, Zoho Start, Zoho Sign API credits plan, Zoho Campaigns Pay-as-you-go edition, Zoho Domains and Zoho Backstage.
- You cannot use the credits to purchase subscriptions to Qntrl, Vikra, TrainerCentral, and Zakya.
- You cannot use the Credits to purchase subscriptions to ManageEngine Products.
- Credits cannot be used to purchase premium or enterprise support plans, onboarding, training and other such services provided by Zoho.
- In addition to the above limitations, you cannot use Stage II Credits to purchase subscriptions to any product from the Zoho Workplace suite.
- Any unused Credits will automatically expire upon expiration of the validity of the Credits.
- Credits provided under Zoho for Startups Program are non-refundable and cannot be reinstated once used to purchase a subscription, regardless of whether the subscription is cancelled, the number of licenses purchased is reduced, or the subscription edition is downgraded.
- If you delete your Zoho account, any unused Credits will become inaccessible and such Credits cannot be reinstated, even if you create a new Zoho account using the same email address you used for the previous Zoho account.
- Zoho's Refund Policy does not apply for subscriptions purchased using the Credits.
Violation
You are prohibited from using the Credits in violation of the terms of this Agreement. In the event Zoho suspects or detects any misuse or non-compliance, Zoho reserves the right to take appropriate actions, including forfeiture of the Credits made available to you.
Limitation of Liability
Zoho shall not be liable for any indirect, incidental, consequential, or exemplary damages arising from your use or inability to use the Credits, even if Zoho has been advised of the possibility of such damages.
You are solely responsible for any claims from third parties, including tax authorities, arising from your use of the Credits.
Governing Law and Jurisdiction
Any controversy or claim arising out of or relating to this Agreement shall be settled and adjudicated exclusively by the courts of Chennai in accordance with the laws of India without regard to conflict of law principles.
Modification
Zoho reserves the right to modify the terms of this Agreement. Modifications to the terms of this Agreement are effective upon your use of Credits subsequent to publication of the revised terms or notification of such modification.
